Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Animus Labs LLC FZ ("Company," "we," "us," or "our") concerning your access to and use of the Animus platform, including our website at https://animus.so and our mobile application (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use following such notification constitutes acceptance of the modified Terms.

1. Description of Services

Animus provides a content intelligence platform that allows you to save, organize, and analyze online content. The Services generate AI-powered insights and summaries to help you understand and manage information.

The Services do not provide access to original third-party content. To view original content, you must visit the source where it is hosted.

2. Eligibility and Account Registration

Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

You may not:

  • Share your account with others
  • Create accounts using false information
  • Create multiple accounts without authorization

3. License and Restrictions

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

Restrictions

You may not:

  • Modify, copy, or create derivative works of the Services
  • Reverse engineer or attempt to extract source code

When you use the Services to save content:

  • You direct us to analyze publicly available online content
  • We generate AI-powered insights and summaries for your personal use
  • You receive analysis and summaries, not access to original content
  • Your saved content and analysis are private to your account

Your Responsibilities

You represent and warrant that your use of the Services:

  • Complies with all applicable laws and regulations
  • Does not violate any third-party rights
  • Does not involve illegal or infringing content
  • Is for legitimate personal or business purposes

You acknowledge that:

  • Most online content belongs to third parties
  • You are responsible for ensuring your use complies with applicable laws
  • We do not verify ownership or rights to content you direct us to analyze
  • You assume all risks associated with your use of the Services

Our Intellectual Property

The Services, including all software, features, designs, and AI systems, are owned by us or our licensors and protected by intellectual property laws. You acquire no ownership rights through your use of the Services.

AI-Generated Content

Analysis and insights generated by our Services are created through our proprietary AI systems. While you may use this analysis for your personal purposes, we retain all intellectual property rights in our systems and processes.

Content Retrieval and Processing

User-Directed Processing

When you submit a URL to Animus, you direct us to retrieve and process the publicly available content at that location on your behalf. We act as your technical agent, fetching content that you could otherwise access yourself through your browser.

Transformative Analysis

We do not store or redistribute original content. Our Service transforms the content you direct us to process into AI-generated analysis, summaries, extractions, and insights for your personal or internal business use. The output you receive is a new, transformative work created by our AI systems.

Your Authorization

By submitting a URL, you represent and warrant that:

  • You have the right to access the content at that URL
  • You are directing us to process that content for your personal or internal business use
  • Your use of the resulting analysis complies with applicable laws
  • You will not use our Service to circumvent paywalls, access controls, or authentication requirements

No Reproduction or Distribution

Our Service is designed for personal knowledge management. You agree not to:

  • Use Animus to systematically collect or reproduce third-party content
  • Redistribute, publish, or commercialize AI-generated outputs that incorporate third-party content
  • Use the Service to create competing databases or content archives

5. Subscriptions and Payments

Fees

Certain features require a paid subscription. By subscribing, you agree to pay all applicable fees at the rates in effect when charges are incurred.

Billing

  • Payments are processed by our third-party payment processor
  • Subscriptions automatically renew unless cancelled
  • You authorize us to charge your payment method
  • All fees are non-refundable except as required by law
  • We may change fees with 30 days' notice

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial periods.

6. Prohibited Conduct

You may not:

  • Use the Services for any unlawful purpose
  • Violate any third-party rights
  • Upload or process illegal content
  • Abuse or overload the Services
  • Attempt to circumvent any access restrictions
  • Use the Services to harm others or our operations
  • Engage in any fraudulent activity

7. Third-Party Services and Content

The Services may integrate with or provide access to third-party services. Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services or content.

Third-Party Content

No Ownership or Endorsement

Content accessible through URLs you submit belongs to third parties. We do not claim ownership of, endorse, or verify the accuracy of third-party content.

Access Limitations

Our Service can only process content that is publicly accessible. We cannot and do not:

  • Bypass paywalls or subscription requirements
  • Access password-protected content
  • Circumvent technical access restrictions
  • Guarantee access to any particular content

Content Availability

Third-party content may become unavailable, change, or be removed at any time. We are not responsible for the availability, accuracy, or continued existence of third-party content.

Relationship with Content Owners

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Services will be uninterrupted, secure, or error-free
  • Results or content will be accurate or reliable
  • Any errors will be corrected
  • The Services will meet your requirements

AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY. WE MAKE NO REPRESENTATIONS REGARDING ITS ACCURACY, COMPLETENESS, OR LEGAL COMPLIANCE.

Third-Party Content Disclaimer

WE DO NOT CONTROL, VERIFY, OR ENDORSE ANY THIRD-PARTY CONTENT PROCESSED THROUGH THE SERVICE. AI-GENERATED ANALYSIS MAY CONTAIN ERRORS, OMISSIONS, OR INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ANY INFORMATION BEFORE RELYING ON IT.

No Professional Advice

Our Service provides informational summaries only. AI-generated outputs do not constitute legal, financial, medical, or professional advice. Always consult qualified professionals for matters requiring expert guidance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF:

  • Amounts paid by you in the 12 months preceding the claim, or
  • $100 USD

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify and hold harmless Company and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Content you direct us to process
  • Any claim that your use of the Services infringes third-party rights

Content-Related Indemnification

You specifically agree to indemnify and hold harmless Animus from any claims, damages, or expenses arising from:

  • URLs you submit for processing
  • Your right or authorization to access the content at those URLs
  • Any allegation that content you directed us to process infringes third-party intellectual property rights
  • Your use or distribution of AI-generated outputs from the Service

11. Term and Termination

Termination by Us

We may suspend or terminate your access to the Services:

  • Immediately, without notice for serious violations of these Terms, illegal activity, or conduct that harms other users or our operations
  • With 30 days' notice for any other reason, including discontinuation of the Services

For paid subscribers terminated without cause, we will provide a prorated refund for any unused portion of your subscription.

Termination by You

You may terminate your account at any time through your account settings or by contacting us.

Data Export

Upon termination or cancellation, you will have 30 days to export your data before permanent deletion. We will provide reasonable assistance to facilitate your data export upon request.

Effect of Termination

Upon termination:

  • Your right to use the Services ceases after any applicable notice period
  • After the 30-day export period, we will delete your account and data
  • You remain liable for all fees incurred prior to termination
  • Provisions that by their nature should survive will survive

12. General Provisions

Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemics, third-party service provider outages (including AI service providers such as OpenAI, Anthropic, or Google), cyberattacks, utility failures, or internet service disruptions. During such events, our obligations will be suspended for the duration of the event.

Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved in the courts of Dubai, UAE.

Dispute Resolution

Informal Resolution First

Before initiating any formal proceeding, you agree to contact us at legal@animus.so and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If we cannot resolve the dispute informally, any claim arising from or relating to these Terms or the Services shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in English and may be held remotely by video conference.

Class Action Waiver

YOU AND ANIMUS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

Jury Trial Waiver

BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.

Small Claims Exception

Either party may bring an individual action in small claims court if the claim qualifies.

Intellectual Property Exception

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

EU Consumer Exception

If you are a consumer residing in the European Union, this arbitration agreement does not affect your right to bring claims before the competent courts of your country of residence under applicable EU consumer protection law.

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Services.

Amendments

We may modify these Terms at any time. Continued use of the Services following notice of changes constitutes acceptance.

Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

Assignment

You may not assign these Terms. We may assign these Terms without restriction.

No Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

13. Acknowledgment

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
